There have been curious events recently in the life of Altus Company owned by Premier Gyurcsány. In 2003-2004 there were several illegal decisions brought in the company. According to the registry court over a year no motion for a judicial oversight proceeding can be initiated. Ferenc Gyurcsány who became Minister of Sports and Youth Affairs in mid-May, 2003 then Prime Minister, declared he would commission representatives to direct his companies during his office. He solved the problem, however, not by a contract regulated by the stock market law but by a so-called authorization. Altus company has no shareholders’ meeting or board of directors, either – the company is led by the director general according to the orders of the proprietor.
The metropolitan registry court ruled on July 9, 2004 that Ferenc Gyurcsány’s authorization for Mrs György Jagiellowicz, director general was illegal as this option is excluded by the corporation law. Premier Gyurcsány did not appeal the verdict and signed the decisions of May 2004 that is he practised his proprietor’s rights in person. This move, however, did not legalize the decisions made between May 2003 and May 2004 when the fusion of Fittelina Ltd was approved into Altus company (The firm had been owned by Ferenc Gyurcsány and his wife, Klára Dobrev).
The income statement of the company was also illegally accepted and this was how Gyurcsány as Minister of Sports and Youth Affairs received HUF 75 million as dividends. The facts are clear but there is the question still why the registry court delayed the legal procedure in the case knowing that Altus company was operated in an illegal way and the payment of Gyurcsány’s dividend was illegal.
